1. Introduction and Acceptance

These Terms and Conditions (“Terms”) constitute a legally binding agreement between AgriTrust Marketplace Limited (“AgriTrust”, “we”, “us”, or “our”), a company registered in Accra, Ghana, and any person who registers on, accesses, or uses the online marketplace at https://agritrust-marketplace.com (the “Platform”).

By registering on the Platform or using any of its services, you confirm that you are at least eighteen (18) years of age, have read and understood these Terms, and agree to be bound by them. If you do not agree, you must not use the Platform.

These Terms apply to all user types: Buyers, Vendors (market traders and agro-dealers), Logistics Partners, and Wholesale Buyers.


2. Definitions

  • “Platform” — the AgriTrust Marketplace website and all associated services.
  • “Buyer” — any registered user who purchases or intends to purchase products through the Platform.
  • “Vendor” — any registered market trader, agro-dealer, or supplier who lists and sells products through the Platform (Free, Verified, or Gold class).
  • “Wholesale Buyer” — a Buyer with a special account approved for bulk purchases subject to minimum order thresholds.
  • “Logistics Partner” — any approved third-party delivery service provider engaged to transport goods.
  • “AgriTrust Aggregation Hub” — a physical hub through which goods are channelled for quality control, aggregation, and distribution.
  • “Order” — a confirmed purchase of one or more products made through the Platform.
  • “Goods in Transit” — products dispatched and in the custody of a Logistics Partner for delivery.
  • “Buyer Protection” — the guarantee provided by AgriTrust to Buyers under Section 10.

3. Platform Role and Relationship

AgriTrust operates as a commercial agent facilitating transactions between Buyers and Vendors. While the underlying sale contract is between the Buyer and the relevant Vendor, AgriTrust acts in a commercial agency capacity by embedding a platform service charge in the Buyer-facing price, creating all product listings, coordinating all deliveries, and providing Buyer Protection guarantees. AgriTrust’s liability in this capacity is limited to the value of the specific transaction as set out in Section 15.

Delivery responsibility: AgriTrust is solely responsible for all deliveries made through the Platform. AgriTrust partners with approved Logistics Partners to ensure goods reach Buyers, but the delivery obligation rests with AgriTrust, not with the Vendor or the Logistics Partner directly. Buyers contract with AgriTrust for delivery, not with any Logistics Partner.

AgriTrust does not charge Vendors a commission on sales. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between AgriTrust and any Vendor or Logistics Partner.


4. Account Registration

4.1 Eligibility

  • You must be at least eighteen (18) years of age to register and use the Platform. There are no exceptions to this requirement.
  • By registering, you confirm that you are eighteen (18) years of age or older. AgriTrust reserves the right to request proof of age at any time and to terminate accounts where the user is found to be under eighteen (18).
  • You must provide accurate, current, and complete information at registration.

4.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your account credentials.
  • Notify AgriTrust immediately at info@agritrust-marketplace.com if you suspect unauthorised access.

4.3 One Account Per User

Each person or entity may maintain only one active account. Multiple accounts created to circumvent restrictions will result in termination of all associated accounts.


5. Vendor Registration and Supplier Classes

5.1 Vendor Registration

Vendor registration is automatic. However, AgriTrust approval is required before a vendor may list products. AgriTrust reserves the right to decline or withdraw approval at any time.

5.2 Supplier Classes

(a) Free Supplier: Open to all approved vendors. No listing limits apply. Free Suppliers have not undergone physical verification or background checks. Conditions may change with notice.

(b) Verified Supplier: Awarded after physical inspection of the vendor’s market stall, background checks through market queens and community leaders, and submission of a valid Ghana Card. Verified Suppliers carry an official AgriTrust Verified badge.

(c) Gold Supplier: A paid tier available only to Verified Suppliers. Gold Suppliers receive enhanced visibility, priority listing placement, and additional features. Pricing and renewal terms are communicated separately.

5.3 Vendor Obligations

  • All listings must be accurate, complete, and not misleading.
  • Orders must be fulfilled promptly and to the described standard.
  • Vendors must comply with all applicable Ghanaian laws, including licensing requirements for regulated products.
  • Vendors must not engage in any prohibited act under Section 13.

6. Product Listings

6.1 AgriTrust-Created Content

AgriTrust creates and provides standardised product images and descriptions for vendors. This ensures consistency and a professional standard across all listings.

6.2 Vendor-Created Content

All content created or modified by vendors on the Platform — including images, descriptions, and specifications — is the sole property of AgriTrust Marketplace Limited. By submitting such content, the vendor irrevocably assigns all intellectual property rights to AgriTrust. AgriTrust may use this content for marketing, promotional, or operational purposes without additional consent or compensation.

6.3 Prohibited Products

  • Narcotics, controlled substances, and any product illegal under Ghanaian law
  • Any agricultural product requiring a licence or regulatory permit where the vendor does not hold such licence
  • Counterfeit, adulterated, or misrepresented products
  • Any product violating FDA Ghana regulations or applicable Ghanaian regulatory standards

AgriTrust may remove any listing at any time without notice where it determines a violation of these Terms or applicable law.


7. Wholesale Buyers

  • Wholesale Buyer accounts are subject to minimum order thresholds communicated at account approval.
  • Payment terms are identical to standard Buyers: full payment is required at the time of order via MoMo, card, or bank transfer.
  • AgriTrust does not offer credit facilities to any user at this time.
  • Wholesale Buyers may be subject to additional terms communicated separately.

8. Ordering and Payment

8.1 Placing an Order

When a Buyer places an order, a binding purchase agreement is formed between the Buyer and the relevant Vendor. AgriTrust facilitates this transaction but is not a contracting party to the sale.

8.2 Payment Methods

  • Mobile Money (MoMo) — processed via Paystack
  • Debit and credit card payments — processed via Paystack
  • Direct bank transfer — as directed by AgriTrust at checkout

AgriTrust does not store card details, MoMo PINs, or bank credentials. Payment processing is subject to Paystack’s terms.

8.3 Payment Holding

Upon confirmed payment, funds are held securely by AgriTrust pending delivery confirmation, protecting both Buyers and Vendors.

8.4 Vendor Payment Release

Vendor payment is released two (2) hours after delivery is confirmed by the Buyer or Logistics Partner.

8.5 Pricing and Platform Service Charge

All prices displayed to Buyers are in Ghana Cedis (GHS) and include applicable taxes unless otherwise stated. Vendors are responsible for the accuracy of their base listed prices.

The price displayed to Buyers at checkout incorporates a Platform Service Charge added by AgriTrust to the Vendor’s listed price. This charge covers the following components, which AgriTrust bears on behalf of the Buyer as part of the transaction:

  • Paystack processing fee — the payment gateway fee charged by Paystack for processing MoMo, card, and bank transfer transactions;
  • Goods-in-transit insurance — the cost of insuring the Buyer’s goods from dispatch to delivery;
  • Porter services fee — the cost of handling and loading goods at the AgriTrust Aggregation Hub;
  • Platform service fee — AgriTrust’s charge for providing the marketplace Platform, market intelligence, Buyer Protection, and associated services.

The Platform Service Charge is incorporated into the price displayed at checkout. The specific percentage or amount of the Platform Service Charge applicable to each transaction will be displayed at checkout before the Buyer confirms their order.


9. Delivery and Inspection

9.1 Delivery

Delivery is coordinated through approved Logistics Partners. All goods are transported as Goods in Transit and are covered by AgriTrust’s goods-in-transit insurance throughout the delivery process.

9.2 Inspection at Delivery — Buyer Obligation

The Buyer must inspect all goods thoroughly at the point of delivery in the presence of the delivery personnel, and either:

  • Confirm that the goods are exactly as ordered (delivery is complete, payment released to vendor); or
  • Reject the goods and communicate the reason clearly to the delivery personnel.

Buyers must not confirm receipt of goods that are incorrect, damaged, or not as ordered. Once confirmed, AgriTrust treats the delivery as successfully completed.

9.3 Rejected Goods — Return Process

Rejected goods are returned by the delivery personnel to the AgriTrust Aggregation Hub. AgriTrust will then either dispatch the correct goods or process a full refund — at the Buyer’s choice. The cost of return delivery from the Buyer’s location to the AgriTrust Aggregation Hub is borne by AgriTrust. However, where it is established that the return was caused by the vendor’s negligence — including knowingly shipping damaged goods, goods of poor quality, or goods that do not match what was shown to the Buyer during their pre-purchase WhatsApp verification chat — the vendor will be surcharged the full cost of return transportation. AgriTrust reserves the right to deduct this surcharge from any outstanding vendor payments.

9.4 Delivery Timelines

Delivery timelines are estimates and may vary. AgriTrust is not liable for delays outside its reasonable control.


10. Buyer Protection

10.1 The AgriTrust Buyer Guarantee

If a Buyer receives wrong goods, damaged goods, or no goods at all, AgriTrust will use reasonable efforts to intervene and resolve the matter within five (5) business days of a valid claim being received. The Buyer should contact AgriTrust immediately by calling, WhatsApp, or email to info@agritrust-marketplace.com. Subject to AgriTrust’s investigation confirming a valid claim under these Terms, AgriTrust will arrange re-delivery of correct goods or issue a full refund.

10.2 Shared Refund Responsibility

Where a refund is warranted, the cost is shared between AgriTrust and the relevant Vendor proportionate to the circumstances of the case.

10.3 Post-Confirmation Claims

Buyer Protection applies before or at the point of delivery. Once a Buyer confirms receipt, AgriTrust’s ability to intervene is significantly limited. Buyers are strongly advised not to confirm delivery until fully satisfied.

10.4 Goods Lost or Damaged in Transit

Where goods are lost or damaged in transit while in Logistics Partner custody, AgriTrust bears full liability. Buyers will receive replacement goods or a full refund, covered by AgriTrust’s goods-in-transit insurance.


11. Vendor Payments and Fees

No Commission: AgriTrust does not charge vendors a commission on sales. Vendors retain the full sale price, less any Paystack processing fees.

Gold Supplier Fees: Gold tier vendors are subject to a periodic subscription fee, with pricing communicated separately. AgriTrust may revise fees with thirty (30) days’ written notice.

Payment Disbursement: Vendor payments are disbursed two (2) hours after delivery confirmation. AgriTrust is not responsible for delays caused by third-party banking systems or incorrect bank details.


12. Intellectual Property

All Platform content — including the AgriTrust name, logo, product images, market intelligence data, and software — is the exclusive property of AgriTrust Marketplace Limited. All vendor-submitted content is irrevocably owned by AgriTrust as described in Section 6.2. Users are granted a limited, non-exclusive, revocable licence to access and use the Platform for the purposes described in these Terms only.


13. Prohibited Conduct

The following conduct will result in immediate account termination:

  • Circumventing the Platform — arranging transactions, payments, or deliveries outside the Platform.
  • Fake or misleading listings — creating listings for unavailable products or with materially inaccurate descriptions.
  • Price manipulation — coordinating prices, artificial scarcity claims, or any practice that distorts fair market pricing.
  • Threatening or abusive behaviour — towards any user, AgriTrust employee, or Logistics Partner.
  • Illegal products and activities — narcotics, unlicensed regulated products, counterfeit goods, or any product illegal under Ghanaian law.
  • Multiple accounts — created to evade restrictions or suspensions.
  • Data misuse — harvesting buyer contact details or Platform data for any purpose beyond order fulfilment.

14. Account Suspension and Termination

14.1 Immediate Termination

AgriTrust may terminate any account immediately and without prior notice where the user has engaged in criminal conduct, poses an immediate threat to the safety of Buyers or the Platform, has listed illegal products, or has engaged in fraud or deliberate misrepresentation. Pending orders will be fulfilled or refunded. Outstanding vendor payments for pre-termination orders will be disbursed normally.

14.2 Termination with Notice

For all other prohibited conduct under Section 13, before terminating a Vendor account AgriTrust will issue a written notice identifying the alleged breach and giving the Vendor forty-eight (48) hours to respond. AgriTrust will consider any response in good faith before making a final termination decision. This process does not apply where immediate termination is required under Section 14.1.

14.3 Effect of Termination

Termination is final. A terminated user who believes the decision was made in error may submit a written representation to info@agritrust-marketplace.com, which AgriTrust will consider at its sole discretion.

14.4 Survival of Vendor Debts

Any amounts owed by a Vendor to AgriTrust at the time of account termination — including refund contributions, transportation surcharges, and any other amounts assessed under these Terms — remain recoverable by AgriTrust as civil debts under the laws of Ghana, notwithstanding termination of the Vendor’s account. AgriTrust reserves the right to pursue recovery through any lawful means available under Ghanaian law.


15. Limitation of Liability

To the fullest extent permitted by Ghanaian law, AgriTrust is not liable for indirect, incidental, special, consequential, or punitive damages. AgriTrust’s total liability for any claim shall not exceed the total value of the transaction to which the claim relates. AgriTrust is not liable for acts or omissions of Vendors or Logistics Partners except where directly caused by AgriTrust’s negligence, or for delays caused by circumstances beyond its reasonable control.


16. Indemnity

You agree to indemnify and hold AgriTrust harmless from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party rights.


17. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy, incorporated into these Terms by reference.


18. Amendments to These Terms

AgriTrust may amend these Terms at any time. Material changes will be notified at least fourteen (14) days in advance by Platform notice and email. Continued use after the effective date constitutes acceptance.


19. Governing Law and Dispute Resolution

Governing Law: These Terms are governed by the laws of the Republic of Ghana.

Amicable Resolution: Parties must first attempt to resolve disputes by good-faith negotiation, initiated by written notice to info@agritrust-marketplace.com. Parties have fourteen (14) days to resolve amicably.

Arbitration: Disputes not resolved amicably shall be finally settled by binding arbitration in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798) of Ghana, conducted in Accra, in English. The arbitrator’s decision is final and binding. Either party may refer a matter to arbitration at any time within six (6) months of the original written dispute notice. A dispute not referred to arbitration within six (6) months shall be deemed settled and no further claim may be raised in respect of it.

Consumer Rights: Nothing in this Section prevents a Buyer who is a consumer from exercising statutory rights under Ghanaian consumer protection law. Where a Buyer is resident in a jurisdiction whose consumer protection laws prohibit mandatory arbitration for consumer disputes, the arbitration clause shall not apply to that Buyer’s claims against AgriTrust. Such claims shall be subject to the laws of the Republic of Ghana and the non-exclusive jurisdiction of the courts of Ghana.


20. General Provisions

Entire Agreement: These Terms, together with all Platform policies, constitute the entire agreement between you and AgriTrust.

Severability: If any provision is held invalid, the remaining provisions continue in full force.

Waiver: Failure to enforce any provision does not waive the right to enforce it in the future.

Assignment: You may not assign your rights under these Terms without AgriTrust’s written consent.

Language: These Terms are in English. In any conflict with a translation, the English version prevails.

Force Majeure: AgriTrust shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond AgriTrust’s reasonable control, including but not limited to: acts of God, flooding, road closures, fuel shortages, power outages, telecommunications failures, civil unrest, government actions, or any other event that could not have been prevented by reasonable precaution. AgriTrust will notify affected users as soon as practicable and resume performance as soon as the circumstances permit.

Vendor Communication Records: Vendors must not delete, alter, or destroy any WhatsApp communication, image, or record relating to a product shown to a Buyer prior to purchase, for a minimum of ninety (90) days after the relevant order is delivered or cancelled. Deletion of such records after a dispute has been raised will be treated as evidence of bad faith and the dispute will be determined in the Buyer’s favour.
